The Servicesu003c/h2u003enu003cpu003eWe provide hosting and cloud-related Services and AI-Assisted Features as described on our website and order pages. Service specifications, resources, and limits are those stated for your chosen plan. We may modify, enhance, or discontinue features, with reasonable notice for material changes affecting active subscriptions.u003c/pu003ennu003ch2u003e5. Orders, Fees, and Renewalsu003c/h2u003enu003cpu003ePrices and billing cycles are stated at purchase. Unless otherwise stated, subscriptions renew automatically at the then-current price for successive terms until cancelled. You authorize us to charge your payment method for fees, renewals, and applicable taxes. Fees are due in advance. Failure to pay may result in suspension or termination.u003c/pu003ennu003ch2u003e6. Refundsu003c/h2u003enu003cpu003eExcept where required by law or expressly stated in a specific offer, fees are non-refundable. Any money-back or trial terms applicable to a particular Service will be stated at purchase. Credits are governed by Section 7.u003c/pu003ennu003ch2u003e7. AI-Assisted Features and Creditsu003c/h2u003enu003culu003enu003cliu003eu003cstrongu003eNature of Credits.u003c/strongu003e Credits are a prepaid license to use AI-Assisted Features. They are not money, currency, or a stored-value instrument, have no cash value, and are not redeemable, transferable, or exchangeable for cash except where required by law.u003c/liu003enu003cliu003eu003cstrongu003ePlans and usage.u003c/strongu003e AI-Assisted Features are offered through subscription plans that include a monthly allowance of Credits, with additional usage available on a metered basis. Different actions consume different amounts of Credits, as published in our then-current rate schedule.u003c/liu003enu003cliu003eu003cstrongu003eTwo types of Credits.u003c/strongu003e u0022Paid Creditsu0022 (purchased for money) do not expire while your account is active. u0022Promotional Creditsu0022 (granted free — e.g., trial, bonus, or monthly allowances) expire as stated and are consumed before Paid Credits.u003c/liu003enu003cliu003eu003cstrongu003eBalance and access.u003c/strongu003e Your Credit balance is tied to your account. Spending Credits requires at least one active Service that exposes AI-Assisted Features; otherwise Credits remain on your account until such a Service is active.u003c/liu003enu003cliu003eu003cstrongu003eNo refund of used Credits.u003c/strongu003e Credits already consumed are non-refundable. Expired Promotional Credits are forfeited.u003c/liu003enu003cliu003eu003cstrongu003ePricing changes.u003c/strongu003e We may adjust plan prices, Credit prices, and the number of Credits consumed by an action, on a forward-looking basis with reasonable notice.u003c/liu003enu003cliu003eu003cstrongu003eOutputs.u003c/strongu003e AI-generated outputs are provided u0022as is.u0022 You are responsible for reviewing them and for your use of them. Subject to the AUP and applicable third-party terms, and as between you and us, you own the outputs you generate; we make no warranty that outputs are accurate, original, non-infringing, or fit for a particular purpose.u003c/liu003enu003cliu003eu003cstrongu003eAccount closure.u003c/strongu003e Upon termination or closure of your account, any remaining Credit balance is forfeited after we provide notice and a reasonable opportunity to use the Services, except where a refund is required by law.u003c/liu003enu003cliu003eu003cstrongu003eAutomated actions & backups.u003c/strongu003e Zeta acts only with your explicit approval and within your plan, and you remain responsible for the actions you approve. Where Zeta creates backups, they are stored in your own service storage as a convenience — not a substitute for keeping your own independent backups.u003c/liu003enu003cliu003eu003cstrongu003eThird-party connections.u003c/strongu003e When you connect a third-party app or service, you authorize that connection and remain subject to the third party’s terms; you are responsible for the credentials you provide and the data exchanged through it.u003c/liu003enu003c/ulu003ennu003ch2u003e8. Acceptable Use Policyu003c/h2u003enu003cpu003eYou agree not to use the Services to host, store, transmit, generate, or distribute content, or to engage in conduct, that:u003c/pu003enu003culu003enu003cliu003e(a) is unlawful, infringing, defamatory, harassing, hateful, or incites violence;u003c/liu003enu003cliu003e(b) is sexually explicit, exploits or endangers minors, or is otherwise abusive;u003c/liu003enu003cliu003e(c) is fraudulent or deceptive, or impersonates any person or entity;u003c/liu003enu003cliu003e(d) contains malware, or is used to gain unauthorized access to, disrupt, or compromise any system, network, or data;u003c/liu003enu003cliu003e(e) sends spam or unsolicited bulk communications;u003c/liu003enu003cliu003e(f) infringes intellectual-property, privacy, or publicity rights;u003c/liu003enu003cliu003e(g) consumes resources in a manner that impairs the Services for others; oru003c/liu003enu003cliu003e(h) violates the acceptable-use terms of any third-party provider used to deliver the Services.u003c/liu003enu003c/ulu003enu003cpu003eu003cstrongu003eAI-Assisted Features.u003c/strongu003e When using AI-Assisted Features you are solely responsible for your inputs and for the outputs you request, generate, publish, or distribute, and you must hold all rights necessary for your inputs. To protect our Services and comply with our providers' terms, we may automatically screen, refuse, block, or limit any request we determine violates this AUP, without prior notice. We may investigate violations and remove content or suspend Services as needed.u003c/pu003ennu003ch2u003e9. Customer Content and Responsibilitiesu003c/h2u003enu003cpu003eYou retain ownership of your Customer Content. You grant us the limited rights necessary to host, process, transmit, back up, and otherwise operate the Services and deliver requested features (including via sub-processors). You are responsible for the legality of your Customer Content, for maintaining your own backups, and for securing your applications, credentials, and configurations.u003c/pu003ennu003ch2u003e10. Backups and Datau003c/h2u003enu003cpu003eWhile we may provide backup features, you are responsible for maintaining independent backups of your Customer Content. We are not liable for any loss, corruption, or deletion of data except to the extent caused by our gross negligence and as limited by Section 17.u003c/pu003ennu003ch2u003e11. Third-Party Services and Sub-Processorsu003c/h2u003enu003cpu003eThe Services rely on trusted third-party providers (including AI model and cloud-infrastructure providers) that process information on our behalf to deliver features, as described in our Privacy Policy. Your use of features delivered through such providers is also subject to their applicable terms.u003c/pu003ennu003ch2u003e12. Intellectual Propertyu003c/h2u003enu003cpu003eThe Services — including our software, branding, u0022Zeta,u0022 and content (excluding Customer Content) — are owned by Point of Trade or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Services under these Terms. You may not copy, resell, reverse-engineer, or create derivative works of the Services except as expressly permitted (e.g., under a reseller program).u003c/pu003ennu003ch2u003e13. Reseller Programsu003c/h2u003enu003cpu003eIf you participate in a reseller program (e.g., Web Hosting Agency or Game Server Provider), you are responsible for your own end customers, their compliance with these Terms and the AUP, your billing relationship with them, and any support you provide. You must not misrepresent the Services. We may act to enforce the AUP against any end customer.u003c/pu003ennu003ch2u003e14. Service Availability and Maintenanceu003c/h2u003enu003cpu003eWe strive to provide reliable Services but do not guarantee uninterrupted or error-free operation. We may perform scheduled or emergency maintenance. Any service-level commitments apply only if expressly stated for your plan.u003c/pu003ennu003ch2u003e15. Suspension and Terminationu003c/h2u003enu003cpu003eWe may suspend or terminate your access for non-payment, violation of these Terms or the AUP, legal requirements, or risk to the Services or others. You may cancel as described in your account or order terms. Upon termination, your right to use the Services ends, and Sections intended to survive (including 7, 9, 10, 12, 16, 17, 18, 19) continue.u003c/pu003ennu003ch2u003e16. Limitation of Liabilityu003c/h2u003enu003cpu003eTo the maximum extent permitted by law, Point of Trade will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Services will not exceed the amount you paid us for the relevant Service in the three (3) months preceding the event giving rise to the claim.u003c/pu003ennu003ch2u003e18. Indemnificationu003c/h2u003enu003cpu003eYou agree to indemnify and hold harmless Point of Trade and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising out of your Customer Content, your use of the Services or AI-Assisted Features, your violation of these Terms or the AUP, or your infringement of any third-party rights.u003c/pu003ennu003ch2u003e19. Privacyu003c/h2u003enu003cpu003eOur collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.u003c/pu003ennu003ch2u003e20. Changes to These Termsu003c/h2u003enu003cpu003eWe may update these Terms to reflect changes in our Services, business, or legal requirements. We will post updates on this page and revise the effective date; material changes may be communicated by additional notice. Continued use after changes take effect constitutes acceptance.u003c/pu003ennu003ch2u003e21. Governing Law and Disputesu003c/h2u003enu003cpu003eThese Terms are governed by the laws of the State of Kuwait, without regard to conflict-of-laws principles. The courts of Kuwait have exclusive jurisdiction over any dispute, subject to any mandatory consumer-protection rights.u003c/pu003enu003cpu003eIn particular, and without limiting the above: your acceptance of these Terms and our electronic records and communications are valid and enforceable under the Electronic Transactions Law of Kuwait (Law No. 20 of 2014); you must not use the Services in any way that breaches the Law on Combating Information Technology Crimes (Law No. 63 of 2015); nothing in these Terms limits any non-waivable rights you may have under the Consumer Protection Law (Law No. 39 of 2014); and our network and Services operate under the regulatory framework administered by the Communications and Information Technology Regulatory Authority (CITRA), with which you agree to comply when using the Services.u003c/pu003ennu003ch2u003e22.
