Orders, Fees, and Renewalsu003c/h2u003enu003cpu003ePrices and billing cycles are stated at purchase. Unless otherwise stated, subscriptions renew automatically at the then-current price for successive terms until cancelled. You authorize us to charge your payment method for fees, renewals, and applicable taxes. Fees are due in advance. Failure to pay may result in suspension or termination.u003c/pu003ennu003ch2u003e6. Refundsu003c/h2u003enu003cpu003eExcept where required by law or expressly stated in a specific offer, fees are non-refundable. They are not money, currency, or a stored-value instrument, have no cash value, and are not redeemable, transferable, or exchangeable for cash except where required by law.u003c/liu003enu003cliu003eu003cstrongu003ePlans and usage.u003c/strongu003e AI-Assisted Features are offered through subscription plans that include a monthly allowance of Credits, with additional usage available on a metered basis. Different actions consume different amounts of Credits, as published in our then-current rate schedule.u003c/liu003enu003cliu003eu003cstrongu003eTwo types of Credits.u003c/strongu003e u0022Paid Creditsu0022 (purchased for money) do not expire while your account is active. u0022Promotional Creditsu0022 (granted free — e.g., trial, bonus, or monthly allowances) expire as stated and are consumed before Paid Credits.u003c/liu003enu003cliu003eu003cstrongu003eBalance and access.u003c/strongu003e Your Credit balance is tied to your account. Spending Credits requires at least one active Service that exposes AI-Assisted Features; otherwise Credits remain on your account until such a Service is active.u003c/liu003enu003cliu003eu003cstrongu003eNo refund of used Credits.u003c/strongu003e Credits already consumed are non-refundable. Expired Promotional Credits are forfeited.u003c/liu003enu003cliu003eu003cstrongu003ePricing changes.u003c/strongu003e We may adjust plan prices, Credit prices, and the number of Credits consumed by an action, on a forward-looking basis with reasonable notice.u003c/liu003enu003cliu003eu003cstrongu003eOutputs.u003c/strongu003e AI-generated outputs are provided u0022as is.u0022 You are responsible for reviewing them and for your use of them. Subject to the AUP and applicable third-party terms, and as between you and us, you own the outputs you generate; we make no warranty that outputs are accurate, original, non-infringing, or fit for a particular purpose.u003c/liu003enu003cliu003eu003cstrongu003eAccount closure.u003c/strongu003e Upon termination or closure of your account, any remaining Credit balance is forfeited after we provide notice and a reasonable opportunity to use the Services, except where a refund is required by law.u003c/liu003enu003cliu003eu003cstrongu003eAutomated actions & backups.u003c/strongu003e Zeta acts only with your explicit approval and within your plan, and you remain responsible for the actions you approve. Customer Content and Responsibilitiesu003c/h2u003enu003cpu003eYou retain ownership of your Customer Content. You grant us the limited rights necessary to host, process, transmit, back up, and otherwise operate the Services and deliver requested features (including via sub-processors). Backups and Datau003c/h2u003enu003cpu003eWhile we may provide backup features, you are responsible for maintaining independent backups of your Customer Content. Third-Party Services and Sub-Processorsu003c/h2u003enu003cpu003eThe Services rely on trusted third-party providers (including AI model and cloud-infrastructure providers) that process information on our behalf to deliver features, as described in our Privacy Policy. Intellectual Propertyu003c/h2u003enu003cpu003eThe Services — including our software, branding, u0022Zeta,u0022 and content (excluding Customer Content) — are owned by Point of Trade or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Services under these Terms. You may not copy, resell, reverse-engineer, or create derivative works of the Services except as expressly permitted (e.g., under a reseller program).u003c/pu003ennu003ch2u003e13. Reseller Programsu003c/h2u003enu003cpu003eIf you participate in a reseller program (e.g., Web Hosting Agency or Game Server Provider), you are responsible for your own end customers, their compliance with these Terms and the AUP, your billing relationship with them, and any support you provide. Service Availability and Maintenanceu003c/h2u003enu003cpu003eWe strive to provide reliable Services but do not guarantee uninterrupted or error-free operation. Suspension and Terminationu003c/h2u003enu003cpu003eWe may suspend or terminate your access for non-payment, violation of these Terms or the AUP, legal requirements, or risk to the Services or others. Limitation of Liabilityu003c/h2u003enu003cpu003eTo the maximum extent permitted by law, Point of Trade will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Services will not exceed the amount you paid us for the relevant Service in the three (3) months preceding the event giving rise to the claim.u003c/pu003ennu003ch2u003e18. Indemnificationu003c/h2u003enu003cpu003eYou agree to indemnify and hold harmless Point of Trade and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising out of your Customer Content, your use of the Services or AI-Assisted Features, your violation of these Terms or the AUP, or your infringement of any third-party rights.u003c/pu003ennu003ch2u003e19. Privacyu003c/h2u003enu003cpu003eOur collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.u003c/pu003ennu003ch2u003e20. We will post updates on this page and revise the effective date; material changes may be communicated by additional notice.
